How and why?
THUNDERBALL was remade because it was based on a novel based on an unproduced screenplay co-written by Kevin McClory. He never owned any rights to OHMSS, aside from Blofeld and SPECTRE of course.

First, because it's a better story and second because OHMSS didn't have Sean Connery in it!
But given what you say about the rights, it's obvious why they chose it.

I like the Bond falling in love part for OHMSS, but I'd still call THUNDERBALL the more epic film of the two.
And since OHMSS was Lazenby's only Bond film, and he was great in it, I think a remake for the sake of just having Connery in the role would be kind of pointless. I mean like a remake of GOLDFINGER just to have Daniel Craig would honestly piss me off. lol

The situation is moot honestly, because OHMSS was supposed to be the next film after Thunderball - and it would have made more sense considering there was the Bond Change in OHMSS - The Quip about- this never happening to the other guy And the fact that Blofeld Didn't recognize Bond immediately upon seeing him (which also refereed to the fact that Bond himself was supposed to have had plastic surgery earlier in the film- though that part wound up on the cutting room floor for time)
If OHMSS had gone in before Thunderball and then YOLT and DAF would have made better plot sense ending with Bond Killing Bolfeld in FYEO
And NSNA would have been cool if This Blofeld was say the son of the original... but McClory was pretty much locked into making a remake of Thunderball with Thunderball's original treatment so yeah
