There's probably one big reason why he won't do it: total control. Firstly because WB wants to control at least marketing, secondly because the script is pretty much done and he most likely wants to revisit that. Lastly because money is a big issue, which brings it back to WB.
Look, if I were WB and Fincher is even bothered to look into it I'd give him carte blanche right there and then. Let him figure it out with Ben Affleck and give him the money he needs. Just send a producer who says yes to everything and they're set. Hell, I'm sure AF that a Fincher directed Batman film is going to make a ridiculous amount of money. So much money.
He's one of the very best directors out there and he has no film coming up. While The Girl with the Dragon Tattoo wasn't a commercial success, Gone Girl certainly was. However, I think Fincher needs another heavy $$$ hitter to get more approval for future films. A Batman film made by him is a guaranteed hit.
The film would also look stunning, obviously captured digitally and while I prefer film, not gonna complain when it's Fincher. He's as precise as the world lets it be. The film will at least be finished in 4K if not 5K like Gone Girl. Shot with the Red Epic Dragon or even the new, specially made one, 8K. I mean, holy guacamole, that's a lotta Ks lol
It just needs to happen but I figure we're going to get someone like Matt Reeves. Certainly not a bad pick either, but I think he's more willing to accept the script and the studio's demands, to a certain extent.
War, what is it good for?
